By purchasing a Starter Pack, Buy-Now Document Set or Co-Create Document Set from Shed House Australia Pty Ltd ("SHA"), you agree to the following Terms & Conditions.

1. Purpose of the Document Set

SHA Document Sets are provided for information, planning and design development purposes only.

The purchase of a Starter Pack, Buy-Now Document Set or Co-Create Document Set does not include:

  • Site-specific engineering
  • Structural certification
  • Building permits
  • Planning approvals
  • Energy assessments
  • Soil reports
  • Wind classifications
  • Construction documentation
  • Builder services
  • Supply of a FutureFrame™ Kit

The Purchaser is responsible for obtaining all required professional advice, reports, approvals and certifications relevant to their project.

2. Intellectual Property

All drawings, floorplans, elevations, renders, CAD files, BIM models, specifications, engineering concepts, design details, construction methodologies, FutureFrame™ system details and associated documentation remain the exclusive intellectual property of SHA.

Purchase of a Document Set does not transfer ownership of any intellectual property rights. All rights are reserved.

3. Licence to Use

SHA grants the Purchaser a limited, non-exclusive, non-transferable licence to use the Document Set solely for the purpose of evaluating, designing and progressing a single project on a single property intended to utilise the SHA FutureFrame™ system.

The licence applies only to the purchaser and the specific project for which the Document Set was purchased.

4. Restrictions on Use

Without SHA's prior written consent, the Purchaser must not:

  • Copy, reproduce, publish, distribute or sell any part of the Document Set
  • Use the Document Set for multiple projects or properties
  • Provide the Document Set to competing kit suppliers, steel fabricators, manufacturers or building system providers
  • Use the Document Set to obtain pricing for alternative structural systems
  • Reverse engineer, replicate or reproduce any aspect of the FutureFrame™ system
  • Create derivative works intended for use outside the FutureFrame™ system
  • Remove any copyright, trademark or proprietary notices

5. FutureFrame™ Exclusivity

The Purchaser acknowledges that SHA designs have been specifically developed for use with the FutureFrame™ system.

The Purchaser must not use any SHA design, or any substantially similar derivative design, for construction utilising alternative structural systems, fabricators, manufacturers or competing suppliers.

Purchase of a Document Set does not grant the right to manufacture, fabricate or construct the design independently of SHA.

6. Permitted Sharing

The Purchaser may provide the Document Set to their architect, designer, engineer, building surveyor, certifier, builder or professional adviser solely for the purpose of progressing the Purchaser's SHA project.

The Purchaser remains responsible for ensuring those parties comply with these Terms & Conditions.

7. Artificial Intelligence & Machine Learning

Without SHA's prior written consent, the Purchaser must not upload, submit, input or provide any SHA drawings, plans, CAD files, BIM models, specifications, engineering details or other SHA intellectual property to any artificial intelligence, machine learning or generative AI platform.

This includes, but is not limited to, using SHA materials to:

  • Train AI models
  • Generate derivative designs
  • Replicate the FutureFrame™ system
  • Create competing products or services
  • Develop alternative engineering or construction systems

Any unauthorised use of SHA materials in conjunction with artificial intelligence technologies constitutes a breach of these Terms.

8. Design Modifications

Any modifications made by the Purchaser or their consultants are undertaken at the Purchaser's risk.

SHA accepts no responsibility for changes made by third parties or for any consequences arising from such modifications.

9. Pricing & Cost Information

Any project budgets, trade estimates, pricing guides, cost breakdowns or indicative pricing supplied by SHA are estimates only.

Actual project costs may vary depending on site conditions, location, approvals, consultants, builder pricing, engineering requirements, market conditions and other project-specific factors.

SHA does not guarantee actual project costs.

10. Site Suitability & Approvals

SHA does not warrant that any design is suitable for a particular property or that any project will obtain planning approval, building approval or certification.

The Purchaser is responsible for undertaking all required investigations and obtaining all necessary approvals.

11. Refunds

Due to the digital nature of SHA products, all Starter Pack, Buy-Now Document Set and Co-Create Document Set purchases are non-refundable once delivered, accessed or downloaded, except where required under Australian Consumer Law.

12. Limitation of Liability

To the maximum extent permitted by law, SHA's liability arising from any claim relating to a Document Set is limited to the amount paid by the Purchaser for that Document Set.

SHA is not liable for indirect, consequential or economic loss, including loss of profits, project delays, approval delays or increased construction costs.

13. Australian Consumer Law

Nothing in these Terms & Conditions excludes, restricts or modifies any rights or remedies available under the Australian Consumer Law which cannot be excluded by law.

14. Governing Law

These Terms & Conditions are governed by the laws of Victoria, Australia and the parties submit to the jurisdiction of the Victorian courts.
